Terms of Service

These terms govern your use of nvnexus.com and every quote, order and service you obtain from NVNexus. Please read them before requesting a quote or placing an order.

Overview

This website is operated by NVNexus ("NVNexus", "we", "us", "our"). We offer this website, including all information, tools and services available from it (the "Service"), to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site, requesting a quote or purchasing something from us, you agree to be bound by these Terms of Service ("Terms"), including the additional policies referenced here: our Refund and Returns Policy and our Privacy Policy. If you do not agree to all of these Terms, you may not use the Service.

We may update, change or replace any part of these Terms by posting updates on this page. It is your responsibility to check this page periodically. Your continued use of the website after changes are posted constitutes acceptance of those changes.

Section 1 – How we sell

NVNexus is an independent reseller of NVIDIA hardware and software. Products on this site are not sold through an automated checkout. You request a quote (or ask to talk to an expert), we confirm availability, price, lead time and delivery terms in writing, and an order becomes binding only when we accept your purchase order or you accept our quotation and the agreed payment terms are met. Prices shown on the site, where shown, are indicative list prices in US dollars excluding VAT, duties and any applicable taxes, and are subject to change without notice.

Our products, including AI accelerators, systems, edge modules, networking equipment and software, are intended for professional, industrial and research use. You are responsible for ensuring compatibility and proper configuration within your intended application. We are happy to help with that before you buy.

By using the Service you represent that you are at least the age of majority in your jurisdiction and that you are acting for business purposes or with the authority to bind the organization you represent. You may not use our products for any illegal or unauthorized purpose, and you must not transmit any worms, viruses or code of a destructive nature. A breach of any of these Terms may result in immediate termination of the Service.

Export control and sanctions compliance

  • Product scope. NVIDIA data center GPUs, DGX systems, Jetson and IGX modules, networking products and related software are subject to the export control laws and regulations of the United States (including the Export Administration Regulations), the European Union and other jurisdictions. Some products, in particular advanced AI accelerators, require licences for export to certain destinations.
  • Restricted destinations. We do not sell or ship to countries or regions subject to comprehensive sanctions or embargoes, including Cuba, Iran, North Korea, Syria and the Crimea, Donetsk and Luhansk regions of Ukraine. Sales to destinations under technology controls, including China, Hong Kong, Macau, Russia, Belarus, Myanmar and Venezuela, are restricted and may be refused or require a licence.
  • Restricted parties. We do not sell to individuals or entities on the U.S. Entity List, Denied Persons List, Specially Designated Nationals list, the EU consolidated sanctions list or similar lists, nor to anyone acting on their behalf.
  • Prohibited end uses. Our products may not be used for military end uses in restricted jurisdictions, for nuclear, missile or chemical or biological weapons activities, or for any end use prohibited under applicable export control regulations.
  • Your responsibility. By ordering you certify that you are not located in a restricted destination or listed on any restricted-party list, that you will not re-export or transfer the products in violation of applicable law, and that you will provide end-user and end-use information when we request it.
  • Right to refuse. We may cancel any order or refuse service where we believe a transaction may violate export control or sanctions law, and we accept no liability for doing so.

Section 2 – General conditions

We reserve the right to refuse service to anyone for any reason at any time. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service without our express written permission. Certain software products offered through our website are subject to the manufacturer's separate licence agreements (for example the NVIDIA AI Enterprise or Omniverse Enterprise licence terms); by purchasing or accessing such software you agree to comply with those terms in addition to these Terms. We are not responsible for loss, malfunction or damage arising from improper installation, configuration or use of hardware or software purchased from us. Headings are for convenience only.

Section 3 – Accuracy, completeness and timeliness of information

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon as the sole basis for decisions without consulting primary, more accurate, more complete or more timely sources. Technical specifications, comparison tables, compatibility notes and performance figures, including those on our GPU comparison pages, are compiled from manufacturer documentation and are provided for reference; they may change without notice. Verify that products meet your requirements before purchase or deployment.

Section 4 – Modifications to the Service and prices

Prices are subject to change without notice. Hardware and software pricing is affected by supply chain costs, component availability, currency movements and licensing terms, and we adjust pricing accordingly; a written quotation fixes the price only for the validity period stated on it. We reserve the right to modify or discontinue the Service, or any part of it, without notice, and shall not be liable to you or any third party for any modification, price change, suspension or discontinuance.

Section 5 – Products and services

Our range includes NVIDIA GPUs, DGX systems, Jetson and IGX platforms, networking products, software licences and related services. Product images are provided by manufacturers and may differ from the delivered revision. Certain products may have limited availability and are subject to return or exchange only according to our Refund and Returns Policy. We do not guarantee compatibility of products with your specific systems or applications unless we have confirmed a configuration in writing. We reserve the right to limit sales of any product to any person, region or jurisdiction and to limit quantities, on a case-by-case basis, and to discontinue any product at any time. Any offer made on this site is void where prohibited.

Section 6 – Quotes, orders and billing

We may refuse or cancel any order, including after a quotation has been issued, where information you provided proves inaccurate, where stock or manufacturer allocation changes, or where compliance checks are not satisfied. For high-value orders we may request additional identification, company registration details or end-user documentation before processing. You agree to provide current, complete and accurate purchase, billing and delivery information and to update it promptly. Payment is due according to the terms stated on the quotation or invoice; title to goods passes on receipt of full payment, and risk passes on delivery.

Section 7 – Optional tools and third-party software

We may provide access to third-party tools, drivers, SDKs, firmware or documentation over which we have no control. Such tools are provided "as is" and "as available" without warranties of any kind and without endorsement, and we have no liability arising from your use of them. You are responsible for ensuring the suitability, licensing and compliance of third-party tools for your intended use.

Section 8 – Third-party links

Content on this site may include materials from third parties, and links may direct you to third-party websites, including manufacturer datasheets and documentation, that are not affiliated with us. We are not responsible for examining or evaluating their content or accuracy and will have no liability for third-party materials, websites, products or services. Review the relevant third party's policies before engaging in any transaction, and direct complaints about third-party products to that third party.

Section 9 – Feedback and submissions

If you send us suggestions, proposals, workload descriptions, configurations or other materials ("comments"), whether at our request or not, you agree that we may use them without restriction and without obligation to keep them confidential, to compensate you or to respond, except where we have signed a non-disclosure agreement with you, which then prevails. You agree that your comments will not violate any third-party right or contain unlawful, abusive or malicious material, and that you will not misrepresent your identity.

Section 10 – Personal information

Your submission of personal information through the site is governed by our Privacy Policy.

Section 11 – Errors, inaccuracies and omissions

Occasionally information on our site may contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, availability, shipping charges or transit times. We reserve the right to correct any errors and to change or update information or cancel orders if any information is inaccurate, at any time without prior notice, including after you have submitted an order. We undertake no obligation to update information on the site except as required by law.

Section 12 – Prohibited uses

In addition to other prohibitions in these Terms, you may not use the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform unlawful acts; (c) to violate any international, federal, state or local regulation or law; (d) to infringe our intellectual property rights or those of others; (e) to harass, abuse, insult, harm, defame, intimidate or discriminate; (f) to submit false or misleading information; (g) to upload or transmit viruses or other malicious code; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl or scrape; (j) for any obscene or immoral purpose; (k) to interfere with or circumvent the security features of the Service; or (l) to engage in activities that would violate export control or sanctions laws. We reserve the right to terminate your use of the Service for violating any of these prohibitions.

Section 13 – Disclaimer of warranties; limitation of liability

We do not guarantee that your use of the Service will be uninterrupted, timely, secure or error-free, or that results obtained from it will be accurate or reliable. The Service and, except as expressly stated in a written quotation or the applicable manufacturer warranty, all products delivered through it are provided "as is" and "as available" without any representation, warranty or condition of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, durability, title and non-infringement. Hardware carries the manufacturer's warranty; we will assist with claims but the warranty terms are the manufacturer's.

To the maximum extent permitted by law, NVNexus and its directors, officers, employees, affiliates, agents, contractors, suppliers, service providers and licensors shall not be liable for any injury, loss, claim or any direct, indirect, incidental, punitive, special or consequential damages of any kind, including lost profits, lost revenue, lost savings, loss of data, downtime, replacement costs or similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of the Service or any products procured through it. Where liability cannot be excluded, our aggregate liability for any order is limited to the amount you paid us for that order. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.

Section 14 – Indemnification

You agree to indemnify, defend and hold harmless NVNexus and its affiliates, partners, officers, directors, agents, contractors, licensors, service providers, suppliers and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third party, including claims arising from the misuse, misapplication or unauthorized export or re-export of products purchased from us.

Section 15 – Severability

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by law, the unenforceable portion shall be deemed severed, and the validity and enforceability of the remaining provisions shall not be affected.

Section 16 – Termination

Obligations and liabilities incurred prior to termination survive termination for all purposes. These Terms are effective unless and until terminated by you or us. You may terminate them by notifying us that you no longer wish to use the Service or by ceasing to use the site. If in our sole judgment you fail to comply with any provision, we may terminate this agreement at any time without notice, and you remain liable for all amounts due up to the date of termination. Termination does not affect software licences that remain in force under their own terms.

Section 17 – Entire agreement

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of it. These Terms and any policies posted by us on this site constitute the entire agreement between you and us regarding the Service and supersede prior agreements, communications and proposals, oral or written. Where you and NVNexus have signed a separate supply agreement, that agreement prevails over these Terms in case of conflict. Ambiguities shall not be construed against the drafting party.

Section 18 – Governing law

These Terms and any separate agreements under which we provide you services are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict-of-law rules. The courts of Tallinn, Estonia have exclusive jurisdiction, except that we may seek injunctive relief or enforce payment in any competent court. Mandatory consumer protection rules of your country of residence remain unaffected where they apply.

You can review the most current version of the Terms at any time on this page. We reserve the right, at our sole discretion, to update, change or replace any part of these Terms by posting updates on our website. Your continued use of the website or the Service following the posting of changes constitutes acceptance of those changes.
